Scenario 1

Susan, the owner and president of Frosty Dairy Treats (Frosty’s), wanted to sell the business to Delilah’s Frozen Delights, Inc. (Delilah’s). To provide a basis for the transaction, Susan retained Franklin, an accountant, to perform an audit of Frosty Dairy Treats. Franklin knew that Delilah would use the audit report in making the purchase of Frosty’s. Franklin’s audit report showed Frosty’s to be profitable. Delilah relied on this report in agreeing to purchase Frosty’s and agreeing to the terms of the purchase. Sometime later, it was discovered that the accountant had made a number of mistakes and that the business that was sold was actually insolvent. Delilah sued Franklin and his firm for damages. The suit claimed that Franklin had negligently misrepresented the facts. 

Provide legal arguments for each side and determine a winner. 
Does it make any difference whether Frosty’s or Delilah’s was a publicly traded company?

Scenario 2

Magic Suzy, an expert balloon artist, rented two helium tanks from Party Products.  Magic Suzy had a booth at the city fair that was in town from Friday until Sunday night. She was going to give out helium-filled balloons, as well as the little animals she made from twisting the balloons. The rental contract required Suzy to return the used tanks by Monday.   She left the tanks inside her booth at the fairgrounds on Sunday evening after the fair closed. Suzy planned to come back early Monday to clean and pick up the tanks.

Oscar, aged 15, attended the fair with some friends.  After the fair was closed, they jumped over the fence and discovered the tanks. The tanks carried printed warnings stating:

HELIUM GAS— CAUTION! CAN CAUSE RAPID SUFFOCATION IF INHALED. KEEP AWAY FROM HEAT, FLAME OR SPARKS.

Despite these warnings, Oscar opened the valve and inhaled some helium from one of the tanks, collapsed, and died. Oscar’s father sued Magic Suzy and Party Products for product liability and negligence.

Will Oscar’s father win his suit? Explain why or why not.

Does the rental contract between Magic Suzy and Party Products influence the case in any way? If yes, how? If not, explain why.

ANSWER:

 

When i have to select one of the top three principles which forms basis of any given business organization and to build a business from which i will be able to sell a minimum of one substantial product or provide any service to customers , i would be selecting individual proprietorship. Individual proprietorship or Sole ownership is a business in which one person owns the complete business. More over am a kind of person who likes to see my money getting created in front of own eyes .Initially i would be sole worker in my firm and based on my growth i would like to add more employees whenever needed. I would like to Homemade products which can be made me people itself. Products such as homemade chocolates , Jute bags , Woodwork are desirable . I will also keep my option of resale as open whenever am unable to find whole sale options. I would like to Name my Company as ” Opulent Services “. The primary office will be located in Mississippi Coast since i feel it is great place for handmade articles .As mentioned earlier i would like to be the sole owner of my company using which i will be able to make a living for myself by reselling and crafting .Individual proprietorship has several advantages such as zero organizational fees , Lesser taxes , Full control of Administrative decisions. Apart from that other advantages in Mississippi has is lack of Legal requirements when it comes to formation of Individual proprietorship .other than that i will be requiring a first name ,employer identification number and zoning clearance certificates .Only disadvantage which i feel is there will be immense personal liability with resource limitations.

The Brattle Center (TBC) is a struggling mental health clinic based in Harvard Square. Its founder, Dr. Joan Wheelis, is a nationally recognized practicing psychiatrist who has developed outpatient treatment programs based on Dialectical Behavior Therapy (DBT) for patients with borderline personality disorder (BPD).

DBT requires teams of people with different types of expertise and so the original operating model developed by Dr. Wheelis was one in which TBC was staffed by a large number of part-time clinicians, known as the “affiliate model.” Changes in the health care environment, particularly the advent of managed care, have put very real pressures on this model and the company is now in a state of crisis.

Dr. Wheelis is trying to decide whether and how to keep it going. The key decision is whether to shift to a “staffing model” based on a larger number of full-time clinicians. This will require a larger patient population to make the economics of greater fixed capacity viable.

TBC is trying to decide whether to join the Blue Cross Blue Shield network, which would increase its patient population but at rates much lower than it currently charges by only taking private patients. I chose to talk about the Yankee Candle company near me. My first plan of action for encouraging ethical behavior would be to make sure the owners and management are abiding by their core values and are demonstrating ethical behavior. This behavior will be known when you speak with the management in the store as well as the employees. If they are trained and taught how the company wants customers to perceive them as a company you will see it when you enter this store. Friendliness, cleanliness and the atmosphere are all part of the ethical behaviors of Yankee Candle. They say that their candles burn clean so it won’t harm the environment or your home. I personally have a slight addiction to candles so I do know that these burn clean as long as you do follow the instructions in regards to trimming the wicks.

 

The other plan of action I would keep up with would be making sure that every new employee is taught the same thing, always asking for feedback and if needed, always making changes to be better and make the product the best for the environment and the customers.

 

With managers always available and the staff quite knowledgeable in the product, the experience there will be a memorable one and you will want to return. I am sure that is what the higher ups at Yankee really want to hear.

 

Analyze a business’s responsibilities to the environment, employees, customers, investors, and the community, and determine which is the most important. Explain your rationale.

 

When analyzing a business’s responsibilities the first thing I thing I think of is how are they contributing to the environment? What do they know about their own service or product? How to they treat their employees? Are they honest and trustworthy enough to have investors invest in them? Do they have any contributions to their community and do they stay involved?

 

 

 

I would have to say that the most important responsibility would have to be how they treat the employees. I always feel they are the “front line” in any business. They have to learn the business, develop a skill for sales and customer relations, know the product and continually gain the respect of customers to stay in business. If the employees fail at any of those then the company doesn’t gain a sale which in turn takes away from the profits. Coaching of employees, on the spot (positive), or weekly is imperative to make sure they are understanding of the core values and expressing them through their everyday interactions.

Assignment 1: Stories of Change

Due Week 3 and worth 135 points

 

Read the “Stories of Change” section in Chapter 1 of the textbook that describes how companies such as Hewlett Packard, IBM, Kodak, and McDonald’s have addressed significant changes within their organizations.

 

Write a four to six (4-6) page paper in which you:

  1. Using Kotter’s model, identify the three (3) most significant errors made out of all of the change stories presented and describe the ramifications of those mistakes.
  2. Make at least one (1) recommendation for each change story that would have improved the effectiveness of the change process and explain why that recommendation would have altered the outcome of the change process.
  3. Attribute a change image to the leading managers or directors in each change story and provide an explanation as to why that change image label is appropriate.
  4. Recommend a different strategy for managing change in each of the one change stories presented and provide a justification for your recommended strategy.
  1. Use at least three (3) quality academic resources in this assignment. Note: Wikipedia and other Websites do not qualify as academic resources.

Your assignment must follow these formatting requirements:

  • Be typed, double spaced, using Times New Roman font (size 12), with one-inch margins on all sides; citations and references must follow APA or school-specific format. Check with your professor for any additional instructions.
  • Include a cover page containing the title of the assignment, the student’s name, the professor’s name, the course title, and the date. The cover page and the reference page are not included in the required assignment page length.

  • Compare theories of change management and select an appropriate theory for an organization change.
  • Evaluate the reactions to change including identifying signs of resistance and approaches to managing it.
  • Use technology and information resources to research issues in managing organizational change.
  • Write clearly and concisely about managing organizational change using proper writing mechanics.
